Your responsibilities
As a Junior Legal Counsel you will be giving legal support in relation to corporate matters for the Swiss holding company and its group entities globally. The applicant will assist in enabling and guiding the company’s growth by contributing to the implementation of legal corporate projects and on general corporate matters in various jurisdictions. Your main tasks and responsibilities will be:
- Provide advice for the governing bodies of the Swiss holding and other group entities related to corporate and asset management transactions such as establishment of new entities, mergers, acquisitions, reorganizations, capital increases, etc.;
- Corporate governance documents drafting (e.g. resolutions, meeting minutes, intercompany agreements, power of attorneys etc.) along with agreements (e.g. shareholder agreements, intra-group agreements);
- Executing and aiding for the set-up of cross-border corporate transformation projects and coordinating internal stakeholders from other business functions to ensure an efficient implementation process;
- Communication with external lawyers, notaries, commercial registries.
- Support in creating and updating templates;
- Assist with internal updating and administration of corporate status tools;
- Other tasks relevant to the function related to shared services, non-disclosure agreements and commercial agreements;
- Champion Compliance and HSE relevant to the function;
Your experiences
- Masters’ degree in Law, ideally combined with some compliance trainings
- Some first years’ experience in corporate commercial law & governance compliance
- English and German fluency both written & spoken, other languages an advantage
- Coordination skills, able to translate legal requirements into easy-to-follow implementation plans;
- You have advanced organizational skills, structured workstyle, priority setting and time-management skills, attention to detail;
- You are self-motivated, able to progress tasks independently, eager to learn, good team player (also in international teams and colleagues from other areas)
